Basics of the KlG

A general partnership is a form of company in which two or more natural persons jointly manage a company. The unlimited, joint and several liability of the partners is particularly important: each partner is liable not only with the company’s assets, but also with his or her private assets.

This form of company does not require a minimum capital contribution and is characterized by its simple formation and flexible structure. The company is founded by means of a partnership agreement, which should be set out in writing, even if this is not required by law.

Entry in the commercial register is mandatory for a general partnership. However, the commercial general partnership already exists from the time the partnership agreement is concluded.

Requirements for the formation
of a general partnership

If you want to set up a general partnership, the following requirements must be met:

At least two partners

The formation of a general partnership requires that at least two or more natural persons are involved.

Choice of company name

The partners must agree on a common company name. In addition to the legally prescribed content, the company name of the general partnership may also contain information about the persons, the activity of the company or fantasy names, provided these are true, cannot cause deception and are not contrary to the public interest.

Partnership agreement

Although a written partnership agreement is not required by law, it is strongly recommended. It regulates the rights and obligations of the shareholders, the management and the distribution of profits.

Entry in the commercial register

As soon as the company operates an externally visible business, entry in the commercial register is required.

Obligation to keep accounts

Depending on the turnover, the company is obliged to keep accounts. Simple bookkeeping (Milchbüchli invoice) is sufficient up to CHF 500,000. From CHF 500,000, double-entry bookkeeping is required (balance sheet, income statement and notes).
